These Terms of Service ("Terms") govern your access to and use of the website at intellifunnellabs.com and the demand infrastructure services offered by IntelliFunnel Labs, Inc. ("IntelliFunnel Labs," "we," "us," or "our"). By accessing our site or engaging our services, you agree to these Terms.

1. Services

IntelliFunnel Labs provides B2B demand generation services including, without limitation, programmatic display advertising, data acquisition, content syndication, webinar registration, tele-qualification, account-based marketing, BANT lead generation, and appointment generation through its portfolio of specialized verticals. The specific scope, pricing, and delivery terms for any engagement are set out in a separate Statement of Work or Order Form executed between the parties.

2. Eligibility

Our services are intended for B2B organizations and their authorized representatives. You represent that you have the authority to enter into these Terms on behalf of the entity you represent and that all information you provide is accurate and current.

3. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of applicable data protection, anti-spam, or telemarketing laws (including CAN-SPAM, CASL, GDPR, and CCPA).
• Misrepresent your identity, organization, or the purpose for which you are using our services.
• Attempt to reverse-engineer, scrape, or systematically extract our proprietary signal methodology, scoring algorithms, or publisher network data.
• Use leads or data delivered under our services in ways that violate the consent terms under which those contacts were acquired.
• Engage in any conduct that could damage, disable, or impair our platform or services.

4. Data and Privacy

Your use of personal data delivered under our services is governed by our Privacy Policy and any applicable data processing addendum executed between the parties. You are responsible for ensuring your use of such data complies with applicable law, including maintaining appropriate legal bases for outreach.

5. Intellectual Property

All content on our site (including the IntelliFunnel Command Center methodology, signal taxonomy, service descriptions, and brand assets) is the exclusive property of IntelliFunnel Labs and protected by copyright, trade secret, and other applicable laws. Nothing in these Terms grants you a license to reproduce, distribute, or create derivative works from our proprietary content without written consent.

6. Performance and Data Representations

Statistics, benchmarks, and performance illustrations on our site are directional and based on aggregated, anonymised client data. They are provided for illustration purposes only and do not constitute a guarantee of results. Specific performance commitments, if any, are limited to those expressly stated in a signed Order Form or Statement of Work.

7. Limitation of Liability

To the maximum extent permitted by applicable law, IntelliFunnel Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue, arising out of or related to these Terms or our services, even if advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the fees paid by you to us in the three months preceding the claim.

8. Disclaimer of Warranties

Our site and services are provided "as is" without warranty of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or that any specific business outcome will be achieved.

9. Indemnification

You agree to indemnify and hold harmless IntelliFunnel Labs and its affiliates from any claims, losses, or damages (including reasonable legal fees) arising from your misuse of our services, violation of these Terms, or violation of any third-party rights.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes shall be resolved by binding arbitration in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

11. Changes to These Terms

We may update these Terms from time to time. The effective date at the top will reflect the latest revision. Continued use of our services after any update constitutes acceptance of the revised Terms.
